These Terms of Service ("Terms") govern your use of the Laiza.live platform, including the website, mobile application, seller panel, and creator panel (collectively, the "Platform"), operated by Laiza Social Commerce Private Limited ("Laiza", "we", "us", or "our"), a company registered in India.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Eligibility
- You must be at least 18 years of age to use the Platform.
- By registering, you represent that all information you provide is accurate, current, and complete.
- You are responsible for maintaining the confidentiality of your account credentials.
2. Account Types
The Platform supports the following account types:
- Buyer: Browse, watch content, shop products, participate in gamification, and earn rewards.
- Seller: List products, manage inventory, process orders, receive payouts, and access analytics.
- Creator (Influencer): Create and upload content (reels/pops), go live, promote products, earn commissions, and build a following.
Each account type is subject to verification and approval by Laiza. We reserve the right to reject, suspend, or terminate any account at our discretion.
3. Buyer Terms
a) Orders & Payments
- All product prices are listed in Indian Rupees (INR) and include applicable taxes unless stated otherwise.
- By placing an order, you agree to pay the total amount including product price, shipping charges, and applicable fees.
- Payment must be made through the payment methods available on the Platform. We do not store your full payment card details.
- An order is confirmed only after successful payment processing and order confirmation notification.
b) Shipping & Delivery
- Delivery timelines are estimates and may vary based on location, product availability, and logistics partner schedules.
- Risk of loss passes to you upon delivery of the product.
- You must provide accurate delivery address and contact information.
c) Returns & Refunds
- Return policies are set by individual sellers and displayed on each product page.
- Refunds for eligible returns will be processed within 7-14 business days after the returned item is received and inspected.
- Laiza facilitates the return process but the seller is responsible for the return policy terms.
d) Bargain System
- The bargain feature allows buyers to negotiate prices through an AI-powered system.
- Bargained prices are validated server-side and subject to seller-defined minimum thresholds.
- Bargained prices are valid only for the current session and may expire.
- Laiza reserves the right to modify or discontinue the bargain feature at any time.
4. Seller Terms
a) Registration & Verification
- Sellers must provide valid GST registration, bank account details, and business information.
- All products listed must comply with applicable Indian laws, including the Consumer Protection Act, 2019.
- Sellers are solely responsible for the accuracy of product listings, descriptions, images, and pricing.
b) Product Listings
- Products must not include prohibited, illegal, counterfeit, or infringing items.
- Laiza reserves the right to remove any product listing that violates these Terms or applicable laws.
- Product images and descriptions must accurately represent the actual product.
c) Order Fulfillment
- Sellers must process and ship orders within the committed timeline.
- Failure to fulfill orders may result in penalties, account suspension, or termination.
- Sellers are responsible for product quality, packaging, and adherence to their stated return policies.
d) Payouts & Commission
- Laiza deducts a platform commission from each sale as specified in the seller agreement.
- Payouts are processed on a regular settlement cycle to the seller's registered bank account.
- Laiza may withhold payouts in case of disputes, chargebacks, or policy violations.
5. Creator Terms
a) Content Guidelines
- Creators must upload original content or content they have the right to use.
- Content must not contain hate speech, violence, nudity, misinformation, or any material that violates Indian law.
- Laiza reserves the right to remove content and suspend creator accounts for policy violations.
b) Earnings & Attribution
- Creators earn commissions on sales attributed to their content and promotional activities.
- Attribution is tracked through the Platform's analytics system.
- Earnings are subject to the payout schedule and minimum withdrawal thresholds.
c) Live Streaming
- Creators must follow community guidelines during live sessions.
- Laiza may terminate live sessions that violate content policies.
- Scheduled live sessions should be honored; repeated no-shows may affect creator standing.
6. Gamification & Rewards
- Laiza offers XP, badges, streaks, leaderboards, and rewards as part of its gamification system.
- Rewards have no cash value unless explicitly stated and cannot be transferred or exchanged.
- Laiza reserves the right to modify, suspend, or discontinue any gamification features or rewards at any time.
- Any attempt to manipulate or exploit the gamification system will result in account suspension.
7. Intellectual Property
- The Platform, including its design, branding, logos, software, and content created by Laiza, is our intellectual property.
- You may not copy, modify, distribute, or create derivative works from our Platform without written permission.
- By uploading content, you grant Laiza a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on the Platform for promotional and operational purposes.
- You retain ownership of your original content.
8. Prohibited Activities
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Create fake accounts, manipulate reviews, ratings, or engagement metrics.
- Upload malware, spam, or any harmful content.
- Attempt to gain unauthorized access to other accounts or Platform systems.
- Scrape, crawl, or use automated tools to extract data from the Platform.
- Circumvent or manipulate pricing, bargain, coupon, or reward systems.
- Engage in fraudulent transactions, chargebacks, or payment manipulation.
- Harass, abuse, or threaten other users, sellers, or creators.
9. Account Suspension & Termination
- We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or pose a risk to the Platform or other users.
- You may delete your account at any time through the app settings or by contacting us.
- Upon termination, your right to use the Platform ceases immediately. Pending orders and payouts will be handled per applicable policies.
10. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Laiza does not warrant that:
- The Platform will be uninterrupted, error-free, or secure.
- Products sold by sellers will meet your expectations or be free from defects.
- Content created by creators is accurate or reliable.
Laiza acts as a marketplace facilitator. We do not manufacture, sell, or endorse any products listed by sellers.
11. Limitation of Liability
To the maximum extent permitted by Indian law:
- Laiza shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Our total liability for any claim related to the Platform shall not exceed the amount you paid to Laiza in the 12 months preceding the claim.
- Laiza is not liable for disputes between buyers and sellers, or for the quality, safety, or legality of products listed on the Platform.
12. Indemnification
You agree to indemnify and hold Laiza, its officers, directors, employees, and partners harmless from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
13. Communications
- By registering, you consent to receive transactional communications via WhatsApp, email, SMS, and push notifications.
- These include OTP verification, order updates, shipping notifications, and account alerts.
- You may opt out of promotional communications at any time, but transactional messages are essential for Platform use.
14. Governing Law & Dispute Resolution
- These Terms are governed by the laws of India.
- Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
- Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email, WhatsApp, or in-app notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
